APEX Medical AI Inc. ("APEX Medical AI," "we," "us," or "our") provides healthcare technology, communications, and related services to healthcare providers, medical practices, and other organizations ("Providers," "Customers," or "you").

Our technology may enable Providers to communicate with their patients and other individuals through SMS, MMS, Rich Communication Services ("RCS"), telephone calls, email, appointment reminders, notifications, and other digital communications. APEX Medical AI may also communicate directly with individuals regarding our own products, services, accounts, support, security, and other business-related matters.

This Privacy Policy describes how APEX Medical AI collects, uses, maintains, discloses, and protects personal information in connection with our website, software, applications, communications platform, and related services (collectively, the "Services").

1. Our Role

APEX Medical AI provides technology and communications services to healthcare providers and other organizations.

When a Provider uses our Services to communicate with you, the Provider—not APEX Medical AI—is generally the entity responsible for the communication and for determining the purposes for which your information is used.

For example, if you receive an SMS, MMS, RCS, or other mobile message regarding an appointment with a medical practice that uses APEX Medical AI's technology, that medical practice is generally the sender and healthcare provider with whom you have a relationship. APEX Medical AI acts as a technology and service provider facilitating that communication.

Questions relating to your medical care, appointments, treatment, medical records, or other healthcare services should generally be directed to the applicable Provider.

In other circumstances, APEX Medical AI may communicate directly with individuals regarding our own products, services, accounts, customer support, security, administrative matters, or other business-related purposes. When APEX Medical AI is the sender of a communication, we are responsible for that messaging program and process personal information as described in this Privacy Policy.

2. Protected Health Information

To the extent APEX Medical AI receives, creates, maintains, or transmits protected health information ("PHI") on behalf of a healthcare Provider, such information will be handled in accordance with applicable healthcare privacy and security laws and the applicable agreement between APEX Medical AI and the Provider, including a Business Associate Agreement ("BAA") where required.

This Privacy Policy does not replace or supersede a Provider's Notice of Privacy Practices.

If you have questions about how your healthcare Provider uses or discloses your PHI, please contact that Provider directly.

3. Information We Collect

Depending on how you interact with our Services, we may collect information including:

  • Name and contact information.
  • Telephone and mobile phone numbers.
  • Email address.
  • Mailing or billing address.
  • Account and customer information.
  • Appointment and scheduling information.
  • Communications and mobile messaging preferences.
  • Information provided through forms, surveys, customer support, or other interactions.
  • Information concerning your communications with Providers through our platform.
  • Information concerning your interactions with our Services.

Information may be provided directly by you, by a Provider, automatically through your use of our Services, or by service providers acting on behalf of APEX Medical AI or an applicable Provider.

  • Facilitate communications between Providers and their patients or customers.
  • Send appointment reminders, confirmations, and scheduling communications.
  • Facilitate two-way communications between a Provider and its patients or customers.
  • Communicate with you regarding APEX Medical AI products or services when APEX Medical AI is the sender.
  • Send account, administrative, security, and service-related notifications.
  • Respond to questions, requests, and customer support inquiries.
  • Send SMS, MMS, RCS, and other mobile or digital communications that you have requested or consented to receive.
  • Maintain the security and reliability of our Services.
  • Detect, prevent, and investigate fraud, abuse, or unauthorized activity.
  • Improve and develop our Services.
  • Comply with legal and regulatory requirements.
  • Carry out other purposes authorized by an applicable Provider, disclosed at the time information is collected, required by law, or permitted with your consent.

5. SMS, MMS, RCS, and Mobile Messaging

APEX Medical AI supports mobile messaging programs, including Short Message Service ("SMS"), Multimedia Messaging Service ("MMS"), Rich Communication Services ("RCS"), and other supported mobile messaging technologies, both for our healthcare Provider customers and, in certain circumstances, for APEX Medical AI's own business communications.

Messaging by Healthcare Providers

When you provide your mobile telephone number and consent to receive SMS, MMS, RCS, or other mobile messages from a Provider using APEX Medical AI's Services, your mobile number and messaging consent may be processed by APEX Medical AI and our messaging service providers for the purpose of delivering those communications.

The applicable Provider is generally responsible for its messaging program, including determining the purpose of the messages, obtaining any required consent, and managing its relationship with you.

Messages may include:

  • Appointment reminders and confirmations.
  • Scheduling communications.
  • Healthcare-related administrative notifications.
  • Account or service notifications.
  • Customer service communications.
  • Security notifications.
  • Other communications authorized by the applicable Provider and permitted by applicable law.

Messaging by APEX Medical AI

APEX Medical AI may also send SMS, MMS, RCS, or other mobile messages directly to individuals who have requested or consented to receive communications from us.

These messages may include:

  • Account or service notifications.
  • Customer support communications.
  • Administrative communications.
  • Security notifications.
  • Product or service-related communications.
  • Other communications disclosed at the time consent is obtained.
  • Promotional communications where separately permitted and consented to.

APEX Medical AI will send direct mobile messages only as permitted by applicable law and based on the applicable consent or authorization.

Mobile Information and Messaging Consent

APEX Medical AI does not sell, rent, or share your mobile telephone number or SMS, MMS, RCS, or other mobile messaging opt-in or consent information with third parties or affiliates for their own marketing or promotional purposes.

Mobile information and mobile messaging opt-in or consent information will not be transferred to third parties or affiliates for their own marketing or promotional purposes.

APEX Medical AI may disclose or process mobile information with service providers, telecommunications carriers, messaging providers, cloud-service providers, and other vendors solely as necessary to provide, transmit, operate, secure, and support the applicable messaging services.

Service providers processing mobile information on our behalf are authorized to use that information only as necessary to provide their services and are subject to applicable contractual or legal obligations.

Message frequency varies depending on the applicable messaging program.

Where applicable to the messaging channel, you may opt out of mobile messages at any time by replying STOP to the message you receive or by following the opt-out instructions provided with the applicable messaging program.

You may reply HELP, where supported, for assistance or contact APEX Medical AI or the applicable Provider using the contact information associated with the messaging program.

After you submit an opt-out request, you may receive a confirmation message. You will no longer receive messages from that messaging program unless you subsequently opt in again.

Opting out of one mobile messaging program does not necessarily terminate other communications or services provided by APEX Medical AI or an applicable Provider.

6. Information Sharing

APEX Medical AI may disclose personal information to:

  • Healthcare Providers and organizations using our Services, as directed or authorized by those organizations.
  • Service providers that provide hosting, cloud infrastructure, communications, mobile messaging, telecommunications, analytics, customer support, security, payment processing, and other business services.
  • Telecommunications carriers and messaging providers as necessary to deliver SMS, MMS, RCS, or other communications.
  • Professional advisors, including attorneys, accountants, auditors, security professionals, and consultants.
  • Government authorities or other parties when required by applicable law, regulation, subpoena, court order, or other legal process.
  • Parties involved in a merger, acquisition, financing, reorganization, sale of assets, or similar corporate transaction.
  • Other parties when you direct us to do so or provide consent.
  • Other parties where disclosure is reasonably necessary to protect the rights, safety, security, or property of APEX Medical AI, our Customers, users, or others.

Service providers that process information on our behalf are authorized to use that information only as necessary to provide services to APEX Medical AI or our Customers and are subject to applicable contractual and legal obligations.

APEX Medical AI does not sell or share mobile telephone numbers or SMS, MMS, RCS, or other mobile messaging opt-in or consent information with third parties or affiliates for their own marketing or promotional purposes.

7. Cookies and Similar Technologies

We may use cookies, pixels, log files, and similar technologies on our websites and applications to:

  • Operate the Services.
  • Remember user preferences.
  • Understand how our Services are used.
  • Maintain security.
  • Improve our Services and user experience.

8. Data Security

APEX Medical AI maintains reasonable administrative, technical, and physical safeguards designed to protect personal information against unauthorized access, use, alteration, disclosure, loss, or destruction.

You may request messaging assistance by replying HELP, where supported, or by contacting the applicable sender.

Opting out of marketing communications does not necessarily prevent APEX Medical AI or a Provider from sending important transactional, administrative, security, or service-related communications when permitted by law.

12. California Privacy Rights

If you are a California resident, you may have rights under the California Consumer Privacy Act ("CCPA"), as amended by the California Privacy Rights Act ("CPRA"), and other applicable California privacy laws.

Depending on applicable law and circumstances, these rights may include rights relating to:

We do not knowingly collect personal information directly from children under 13 except where such information is provided or processed in connection with healthcare services, at the direction of a Provider, with appropriate authorization, or as otherwise permitted by applicable law.

14. Changes to This Privacy Policy

We may update this Privacy Policy periodically to reflect changes to our Services, business practices, legal requirements, technologies, or other circumstances.

When we make changes, we will post the updated Privacy Policy on our website and update the "Last Updated" date above. Your continued use of our Services after an updated Privacy Policy becomes effective is subject to the updated policy to the extent permitted by applicable law.
