Terms of Service
Apex Medical AI Inc.
Effective Date: 7 August 2026
These Terms of Service govern use of the APEX Medical AI platform and related services. Sections 1-10 apply to our Customers and their authorized users. Section 11 applies to recipients of SMS, MMS, or RCS messages sent through APEX Medical AI Services, whether the sender is APEX Medical AI or a participating healthcare Provider using the APEX Medical AI platform.
1. Use of the Service
Apex provides a secure, web-based healthcare technology platform to authorized customers and users.
Users may access the service only for legitimate business and healthcare-related purposes authorized by their organization.
2. Authorized Access
Users must:
- use their own authorized account;
- protect their credentials;
- not share accounts or passwords;
- comply with applicable security requirements; and
- immediately report suspected unauthorized access or security incidents.
Access may be restricted or suspended when necessary to protect the service, customer information, or other users.
3. Customer Responsibilities
Customers are responsible for:
- authorizing their users;
- ensuring users have a legitimate business need for access;
- maintaining appropriate security controls on customer-managed devices and networks; and
- using the service in accordance with applicable laws, contracts, and organizational policies.
4. Protected Health Information
Where Apex receives or processes PHI on behalf of a customer, such processing is governed by the applicable BAA and HIPAA requirements.
In the event of a conflict between these Terms and an applicable BAA regarding PHI, the BAA will control with respect to that PHI.
5. Security and Confidentiality
Apex maintains security controls designed to protect customer information, including access controls, encryption, monitoring, logging, vulnerability management, backup, disaster recovery, and incident-response processes.
Customers must not attempt to bypass, disable, test without authorization, or interfere with Apex security controls.
6. Acceptable Use
Users must not use the service to:
- gain unauthorized access to systems or data;
- introduce malware or malicious code;
- disrupt or interfere with the service;
- violate applicable law or privacy requirements; or
- access, use, or disclose information without authorization.
7. Service Availability
Apex uses reasonable administrative and technical measures to maintain the availability, security, and reliability of the service.
Specific service levels, support obligations, recovery objectives, and other contractual commitments are governed by the applicable customer agreement or SLA.
8. Intellectual Property
Apex retains ownership of its software, platform, technology, documentation, and related intellectual property.
Customers retain ownership of their data, subject to the rights necessary for Apex to process that data in order to provide the contracted services.
9. Suspension and Termination
Apex may suspend or restrict access when necessary to address a security risk, unauthorized use, legal requirement, or material violation of the applicable agreement.
Upon termination, customer data will be handled in accordance with the applicable agreement, BAA, and Apex data-retention and deletion procedures.
10. Governing Agreements
These Terms supplement the applicable customer agreement, BAA, SLA, and other executed agreements between Apex and the customer.
If an executed agreement contains terms that conflict with these Terms, the executed agreement will govern.
Executed customer agreements govern the relationship between APEX Medical AI and its Customers. Section 11 separately describes the terms applicable to recipients of mobile messages sent through the APEX Medical AI Services.
11. SMS, MMS and RCS Messaging Terms
11.1 Messaging Program and Sender
APEX Medical AI provides technology that enables APEX Medical AI and participating healthcare Providers to send appointment and care-related mobile messages.
When APEX Medical AI sends a message in its own name, APEX Medical AI is the sender.
When a healthcare Provider uses the APEX Medical AI platform to communicate with its patients, that Provider is the sender of the message and may have additional privacy notices or messaging terms that apply to its relationship with the recipient.
These Messaging Terms describe the general rules that apply to mobile messaging delivered through the APEX Medical AI Services.
11.2 Program Name
APEX-operated messaging programs may use the name "APEX Medical AI Appointment & Care Updates." Participating healthcare Providers may identify their messaging programs using their own approved brand or program name.
11.3 Messages You May Receive
Messages may include:
- Appointment reminders
- Appointment confirmations
- Appointment reschedule and cancellation notices
- Pre-visit check-in requests
- Notifications that a new document or care update is available for secure viewing
Messages are designed to contain only limited information necessary for the notification and not detailed clinical information such as diagnoses, medications, treatments, or test results. Sensitive details are made available through an appropriate secure, authenticated channel.
11.4 Message Frequency
Message frequency varies.
11.5 Costs
Message and data rates may apply. Contact your wireless carrier for details about your plan.
11.6 How to Stop Messages
You can cancel at any time. Reply STOP to any message to stop receiving messages from this program. You will receive one confirmation message, and no further messages from this program will be sent.
To resume messages after opting out, reply START.
11.7 How to Get Help
Reply HELP to any message for help.

11.8 Privacy
No mobile information will be shared with third parties or affiliates for marketing or promotional purposes.
Where a healthcare Provider is the sender, information associated with that Provider's messaging program may also be processed in accordance with the Provider's applicable privacy notice and its relationship with the recipient.

11.9 Carrier Liability
Carriers are not liable for delayed or undelivered messages.
11.10 Sender Numbers
Messages for a messaging program may be sent from different phone numbers, sender IDs, or approved RCS business senders associated with that program.
11.11 Phone Number Changes
If you change or deactivate your mobile phone number, please contact us so we can update your messaging preferences and records.
11.12 Consent
Consent to receive messages is not a condition of receiving healthcare services, making a purchase, or using any APEX Medical AI product or service. No purchase is required.
11.13 Emergency and Sensitive Information
Do not use text, MMS, or RCS messaging for medical emergencies or urgent medical needs. Contact emergency services or your healthcare Provider through the appropriate channel.
Please do not send unnecessary sensitive medical information by text. Where a secure care update or document is available, use the secure access method provided.
